1. Purpose
These Terms and Conditions of Use (“Terms”) govern access to and use of the Raydocs platform (the “Platform”), published by RAYDOCS, a French simplified joint-stock company (SAS) with share capital of €1,900, registered with the Nanterre Trade and Companies Register under number 108 074 139, whose registered office is at 17 rue de l’Église, 92200 Neuilly-sur-Seine, France.
For each customer, they are supplemented by a subscription agreement consisting of an Order Form, General Terms and Conditions of Sale, pricing schedule and Data Processing Agreement. In the event of any conflict, the subscription agreement prevails.
2. Functional scope
The Platform provides a service for the automated analysis of professional documents, the extraction and structuring of the data they contain, and delivery of that data to the customer’s systems.
Raydocs is not a legal professional and does not provide advisory services. The Platform is not a substitute for any regulated software or any of the customer’s professional obligations.
3. Access and user accounts
Access to the Platform is not available on a self-service basis. Accounts are created by Raydocs following an onboarding process and are available only to professionals.
Credentials are strictly personal. Users undertake to keep them confidential and to report any unauthorised use of their account without delay.
4. User commitments
Users undertake to:
- provide accurate information when their account is created;
- use the Platform for its intended purpose, in compliance with applicable laws and, where relevant, their professional rules;
- hold the necessary rights and authorisations for the documents they submit;
- verify extracted data before any professional use;
- not attempt to access data for which they are not authorised or recreate a competing database from the service.
5. Raydocs commitments
Raydocs undertakes to:
- make the Platform available under normal performance conditions;
- ensure the technical security of data in accordance with the state of the art;
- notify any personal data breach without undue delay;
- provide support in accordance with the subscription agreement.
6. Artificial intelligence
The Platform relies on artificial intelligence models operated by third-party providers acting as Raydocs’ subprocessors. Raydocs remains responsible for these providers’ performance of their data protection obligations.
Raydocs does not use submitted documents or extracted data to train or improve artificial intelligence models.
As the processing performed is probabilistic, extracted data may contain inaccuracies. Verification by the user before any professional use is an essential obligation: the decision and professional responsibility remain those of the customer.
7. Data and ownership
Submitted documents and extracted data remain the customer’s property. Raydocs acts as data processor in relation to them within the meaning of the GDPR, under the Data Processing Agreement entered into with each customer.
Unless otherwise stated in the Order Form, documents and extracted data are retained for ninety (90) days from processing. On termination, data is returned on request in a structured format and then deleted.
The Platform, its software components, interfaces and trademarks remain the exclusive property of Raydocs. No right other than a personal, non-exclusive and non-transferable right of use is granted to the customer.
8. Pricing and billing
Pricing terms are defined in the subscription agreement entered into with each customer. Billing is monthly in arrears and based on actual usage.
Any amount due and unpaid by its due date bears interest at the statutory rate plus four percentage points, in addition to the fixed recovery fee of forty (40) euros provided for by the French Commercial Code.
9. Term and termination
The agreement is entered into without a minimum commitment period, unless otherwise provided in the Order Form. Either party may terminate it by giving thirty (30) days’ written notice.
Raydocs may suspend or terminate access without notice in the event of a serious breach, including continued non-payment following formal notice.
10. Limitation of liability
Raydocs’ liability is limited to the amounts actually paid by the customer during the preceding twelve (12) months.
Raydocs may not be held liable for the consequences of use of the Platform that does not comply with these Terms, or for legal, accounting or operational decisions made by the customer on the basis of the returned data.
11. Changes to the Terms
Raydocs may amend these Terms. Customers will be informed electronically at least thirty (30) days before the changes take effect and may terminate the agreement within that period if they do not accept them.
12. Governing law and jurisdiction
These Terms are governed by French law. Any dispute relating to their interpretation or performance falls within the jurisdiction of the courts under the Paris Court of Appeal.
